Terms of Use

The Services involve digital assets and blockchain transactions, including user-generated tokens and memecoins. Digital assets are risky and can be extremely volatile. You can lose all of the value of assets you buy, sell, hold, or otherwise interact with. Crypto markets can also be illiquid and subject to fraud, manipulation, front-running, wash trading, hacking incidents, and network attacks.

We are not your broker, intermediary, agent, or advisor. We do not provide investment, legal, tax, or accounting advice. Nothing on the Services is a recommendation, endorsement, or solicitation to buy, sell, or hold any asset. You are solely responsible for your decisions and for any losses that result.

1.1.In these Terms, “Candles,” “we,” “us,” and “our” refer to Candle Holdings Inc.and its affiliates. “Affiliate” means any entity that directly or indirectly controls, is controlled by, or is under common control with Candle Holdings Inc.. “Control” means the power to direct or cause the direction of the management and policies of an entity, whether through ownership of voting securities, by contract, or otherwise.

1.2. We develop, maintain, and operate the Services, and we may provide access to smart contracts and blockchain protocols through the Services.

1.3. These Terms apply to all uses of the Services, including any tools or features made available through the Services.

1.4. We may publish additional rules, policies, or guidelines, including fee disclosures and product-specific terms. Those materials are incorporated by reference and form part of these Terms.

2.1. To use the Services, you must:

• be at least 18 years old and have the legal capacity to enter into these Terms,
• not be prohibited from using the Services under applicable law,
• not use the Services from a jurisdiction where access would be illegal or would require us to obtain a license we do not hold,
• not be subject to sanctions or on any restricted party list, and not use the Services for sanctioned persons or prohibited end uses.

2.2. If you use the Services on behalf of an entity, you represent and warrant that you are authorized to bind that entity.

2.3. We may change eligibility criteria and restrict access in certain jurisdictions at any time.

3.1. The Services provide an interface to discover, trade, transfer, and otherwise interact with digital assets and blockchain protocols on supported networks (currently including Solana), including user-generated tokens.

3.2. We do not control public blockchains. We cannot guarantee that any transaction will be confirmed, completed, or finalized within any specific time.

3.3. Non-custodial. Candles is non-custodial. We do not hold your seed phrase or private keys. Embedded or software-assisted wallet experiences are provided through wallet infrastructure partners; you remain responsible for your wallet and assets.

3.4. User-generated digital assets. Tokens created or promoted by users are the sole responsibility of their creators and the users who choose to interact with them. We do not guarantee that any token is safe, legitimate, or compliant. You assume all risk when interacting with user-generated assets.

4.1. You may create or access an account using available authentication methods, which may include email one-time codes, Sign in with Apple, Google Sign-In, and passkey / one-tap wallet creation.

4.2. You are solely responsible for:

• maintaining the security of your devices, credentials, and recovery materials,
• reviewing transaction details before you approve or sign,
• keeping sufficient balances to cover transaction amounts and network fees,
• safeguarding any recovery phrase revealed to you; anyone with that phrase can control your wallet.

4.3. We do not store your seed phrase or private keys. If you lose access to your wallet or recovery materials, you may lose access to assets. We are not responsible for wallet loss due to user error, malware, phishing, SIM swap, compromised devices, or third-party failures.

4.4. Device biometrics (for example Face ID) may be used on your device to confirm sensitive actions. Biometric data is processed by your device platform, not collected by Candles as a biometric database.

4.5. You must notify us promptly at team@buycandles.xyz if you believe your account, wallet connection, or use of the Services has been compromised.

5.1.By submitting any transaction, order, or instruction through the Services (an “Instruction”), you authorize the Services and related smart contracts / protocols to execute such Instruction on your behalf.

5.2. Irrevocability. Blockchain transactions are typically irreversible once submitted and confirmed. You may not be able to cancel, reverse, or recover funds.

5.3. No guarantee. We do not guarantee that any Instruction will execute successfully. Network congestion, validator behavior, smart contract logic, routing providers, and protocol mechanics can cause delays or failures.

5.4. Refusal and mitigation. Where technically feasible and permitted by law, we may refuse to facilitate Instructions that appear fraudulent, abusive, unlawful, or harmful. You acknowledge that on-chain execution may still occur outside our control.

6.1. The Services may let you buy crypto or fund a wallet using fiat through third-party payment or on-ramp providers (including providers such as Onramper and Crossmint). Those providers may require identity verification, payment details, and compliance checks under their own terms and privacy policies.

6.2. Your relationship with those providers is separate from your relationship with Candles. We are not responsible for their availability, KYC decisions, payment processing, settlement delays, chargebacks, or errors.

6.3. Availability of payment methods and on-ramp features may vary by jurisdiction, device, and provider eligibility rules.

7.1. You agree to pay all fees displayed or otherwise disclosed to you at the time you use the Services, including any platform fees, creator fees, or other charges described in a fee schedule at https://www.buycandles.xyz/support/fees.

7.2. Third-party fees. You are solely responsible for third-party fees, including blockchain network fees and any fees charged by wallet, payment, on-ramp, or other third-party providers.

7.3. Fee changes. We may change fees from time to time. Continued use after a fee change constitutes acceptance of the updated fees.

If you participate in any referral or rewards program, that participation is also governed by the Referral Program Agreement. Rewards are promotional, may change or end, and are void where prohibited. No purchase is necessary to participate unless we expressly say otherwise in program terms.

9.1. We may suspend or terminate access to the Services if we reasonably believe you violated these Terms, applicable law, or posed a security, fraud, or compliance risk.

9.2.You may delete your Candles account from the mobile app (Settings → Legal & Privacy → Delete account) when signed in, or by contacting support. Deletion removes or anonymizes account profile data we control, subject to legal retention needs. Self-custodial wallet keys and on-chain history are not owned by Candles and generally cannot be erased from the blockchain.

9.3. Account deletion may be delayed or blocked while a meaningful balance or pending transactions remain, so you can move funds first.

You agree not to use the Services to:

• violate any law, regulation, or sanctions program,
• engage in fraud, market manipulation, or deceptive conduct,
• interfere with or disrupt the Services or underlying networks,
• attempt to gain unauthorized access to accounts, systems, or data,
• use the Services for any unlawful end use or for prohibited persons.

The Services, including branding, software, and content we provide, are owned by Candles or our licensors. You receive a limited, revocable, non-exclusive, non-transferable license to use the Services for their intended purpose, subject to these Terms.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, timely, secure, or error-free. Blockchain transactions may fail, delay, or execute in unexpected ways due to network conditions, routing providers, or smart contract behavior.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CANDLES AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR DIGITAL ASSETS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

We may update these Terms from time to time. The “Last Updated” date shows when changes took effect. Continued use of the Services after an update constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. You agree that any dispute arising out of or relating to these Terms or the Services shall be brought in the state or federal courts located in Wyoming, where permitted by applicable law, and you consent to the personal jurisdiction of such courts.
